This Single Sided Staking program (the “Program”, the “Service”) is operated and controlled by HeadStarter Limited, a company registered under the laws of British Virgin Island, (the “Company”, “HeadStarter”, or “We” or “Us”) .

Your access and use of the Program is subject to these terms and conditions (the “Terms” or “Terms and Conditions”), and any notices, disclaimers, any other terms and conditions, or other statements issued or authorised by Us, as contained on our Website. Accordingly, these Terms are binding to anyone staking HeadStarter tokens (HST), and during the entire time while using our decentralised application (“dApp”, “Website”).

While utilising the Services, You understand that the Program relates to virtual assets. Accordingly, You agree and understand that any operations or transactions involve significant risk, and the risk of resulting loss may be substantial. By accessing our dApp and participating in our Staking Program, You agree and acknowledge that You have been informed and understand the risk warnings set out above.

HeadStarter will continually update these Terms and Conditions, therefore, You agree to keep Yourself updated in this respect.

• Use and Access
  • Please read these Terms and Conditions carefully before using our Program. By visiting our Website or interacting in any extent with our dApp or any section thereof, you agree to be bound by these Terms and agree the Terms shall constitute a legally binding agreement between You and HeadStarter.
  • The company reserves the right to amend these Terms from time to time, at our discretion, without requiring prior notifications or User's consent. If you do not agree to be fully bound by all or any part of these Terms, please cease and refrain from using our Website and dApp immediately. Your continued use of the Program or our dApp will be deemed a tacit acceptance of these Terms and any amendments hereto. Any changes to the Terms will be posted on the Website or in the staking section of the dApp. Accordingly, you agree to stay up-to-date by reviewing these Terms regularly.
  • The Program is currently offered on a self-service basis. The Services are not directed at, or to be distributed to any persons domiciled under any jurisdiction where all or part of the Service may be contrary to the applicable laws and regulations (“Applicable Laws”). You are solely responsible for compliance with Applicable Laws and regulations within the jurisdiction where You are located, and all other laws or regulations applicable under Your jurisdiction and/or the jurisdiction from which You access the Program. Likewise, HeadStarter retains the right to restrict the access or use of the Program in certain jurisdictions, at any time.
• Eligibility
  • You are above eighteen (18) years of age, and possess the full capacity to enter into a legally binding contract according to the Applicable Laws in the jurisdiction You are based or You are at the moment to access to our Program, to accept these Terms and Conditions as set out hereunder, and enter into transactions as a result of using the dApp and participate in the HeadStarter Single-Sided Staking Program.
  • The HeadStarter Single-Sided Staking Program is open to all users who hold HST and meet the minimum staking requirements.
  • You agree and acknowledge that You are solely and wholly responsible for obtaining and maintaining any hardware, software, wallets, facilities, connections, licences, permits, database, equipment, external software or any other resources as may be required and/or necessary for Your use of the Program (such as, computer, mobile device, internet connection, and telecommunications) and any relevant systems. You agree that the Company will not be liable to bear any costs, expenses, losses or other damages which You may incur directly or indirectly, with respect to such hardware, software, facilities, connections, licences, permits, database, equipment or external software or any other resources as may be required, in connection with Your use of the Staking Program.
• Staking Mechanism
  • HeadStarter Single-Sided Staking Program allows users to stake HST through the Staking section on the HeadStarter dApp.
  • Once staked, Your HST tokens will be locked for a set period, depending on the option you select. Therefore, during this time, You will not be able to withdraw or transfer any or all of the HST staked tokens.
  • If You withdraw before the term of your selection, depending on the option You select, You will get an applicable penalty for breaching the Term, and accordingly, the amount of the penalty in HST tokens will be deducted directly by the Company, otherwise you choose the FLEX pool.
  • Your rewards for participating in the Staking Program will be calculated based on how much You have staked.
  • If you Boost your stake with any of the HeadStarter eligible NFTs, and the APY (Annual Percentage Yield) offered at the time, your rewards will be calculated accordingly.

• Reward Distribution
  • Rewards for Your participation in the Program will be distributed on a regular schedule, depending on the Program you choose.
  • By participating in the Program, You acknowledge and accept that reward rates can fluctuate due to market conditions, HST token liquidity, and overall staking pool performance, which are all variables outside of the control of HeadStarter. Therefore, HeadStarter is not liable for the fluctuation of reward rates or any of the associated elements impacting the rewards.
  • HeadStarter reserves the right to change these rates at any time. Any changes to reward rates will be notified on our Website. Accordingly, you agree to stay up-to-date by reviewing our Website and these Terms regularly.
• Unstaking and Withdrawal
  • Any HST tokens You stake will be locked in the Program’s smart contract for a specific period you choose in the determined Program, according to the specifications described above. Once the lock-up period ends, You will be able to unstake your HST tokens.
  • Unlocking the HST tokens earlier than the term initially selected as the lock-up period will be considered a breach to these Terms, therefore, will lead to penalties and loss of rewards.
  • By participating in the Program, You acknowledge and accept that You are responsible for complying with any applicable tax obligations related to staking rewards. HeadStarter is not responsible or liable for maintaining You informed about local tax regulations applicable to You. Therefore, You shall be in line and compliant with all the regulations applicable to You under this Staking Program.
• Termination and Amendments
  • You agree that the Company reserves the right to suspend or terminate Your access to the Program, in the event that:
    • HeadStarter reasonably suspects that You are in breach of any of Your obligations under these Terms.
    • HeadStarter reasonably suspects that You have committed any fraudulent or illegal activities, in breach of Applicable Law; or
    • For any other reason that the Company feels necessary to ensure compliance with the laws and regulations applicable to the Us.
• Risk Disclosure
  • By participating in HeadStarter Single-Sided Staking, You acknowledge and accept certain risks, including, but not limited to the following:
    • Any potential loss in rewards if the market conditions have a negative impact on the value of your staked HST tokens.
    • Any delays in staking or unstaking due to platform or network issues.
    • Any changes in market conditions affecting the APY or the amount of rewards you earn. HeadStarter does not offer any guarantee of any specific returns and is not liable for any losses that occur as part of Yous staking process.
• Ownership and Intellectual Property
  • The materials on HeadStarter Website, the Staking dApp, any of our links, and of our social media channels, including without limitation, the text, user interface, software, scripts, graphics, photos, sounds, music, videos, interactive features (“Materials”), the trademarks, service marks, slogans, icons and logos contained therein (“Marks”), are owned by HeadStarter, and are subject to copyright and other intellectual property rights, registered or unregistered, in British Virgin Island, and any other jurisdiction when HeadStarter, its affiliates or partners operates, as the case may be. Materials and Marks on the dApp are provided to You “AS IS” for Your information and personal use only. HeadStarter strictly unauthorised their use, copy, reproduction, distribution, transmission, broadcasting, displaying, selling, licensing, or otherwise exploiting for any other purposes whatsoever without the prior written consent of HeadStarter.
  • HeadStarter reserves all rights not expressly granted herein, to our Website, links, dApp, Marks and the Materials. You agree to not engage in the use, copying, or distribution of any of the Marks and/ or Materials other than as expressly permitted herein, including any use, copying, or distribution of Marks and/ or Materials of third parties obtained through our dApp for any commercial purposes. You agree not to circumvent, disable or otherwise interfere with security-related features of the dApp or features that prevent or restrict use or copying of any Marks and/ or Materials or enforce limitations on use of the Website or the Marks and/ or Materials therein.
• Warranties and Disclaimers
  • Except where expressly provided for otherwise, HeadStarter dApp and the Program are provided to You “AS IS” and "as available" and without warranty of any kind to the maximum extent permitted under applicable law. HeadStarter, on its own behalf and its service providers, affiliates and partners, expressly disclaims all warranties, whether express, implied, statutory or otherwise, with respect to the dApp, Website, and its content, including all implied warranties of merchantability, fitness for a particular purpose, title and non-infringement, and warranties that may arise out of course of dealing, course of performance, usage or trade practice. Without limitation to the foregoing, We provide no warranty or undertaking, and make no representation of any kind that the dApp and any of its content thereon will meet your requirements, achieve any intended results, be compatible or work with any other software, wallets, applications, systems or services, operate without interruption, meet any performance or reliability standards or be error free or that any errors or defects can or will be corrected.
  • Without limiting the foregoing, neither HeadStarter nor any of its affiliates, partners, or service providers related to HeadStarter makes any representation or warranty of any kind, express or implied:
    • As to the operation or availability of the dApp or the Program, or the information, content, and materials or products included thereon.
    • That access to the dApp will be uninterrupted or error-free.
    • As to the accuracy, reliability, or profitability of any information or content provided through our Website, the dApp, or the Staking Program.
    • That the dApp, our Website, the Staking Program, its servers, the content, or e-mails sent from or on behalf of HeadStarter are free of viruses, scripts, trojan horses, worms, malware, timebombs or other harmful components.
  • Any content accessed, linked to Your wallet, hardware, software, or otherwise obtained on or through the use of the dApp or our Website is at your own discretion, due diligence, and risk. HeadStarter has no responsibility for any damage to your computer system, wallet, or loss of data, assets, or any loss that results from the access or use of content therefrom.
  • HeadStarter makes no representation in relation to the suitability of any information, software, and services contained on this Website or the dApp for any purpose, the display or promotion of any virtual assets, including HST tokens, on this Website does not constitute any endorsement or recommendation of investment thereof.
  • Nothing on the dApp or our Website constitutes any investment advice or any inducement of investment. You acknowledge and agree to rely on the Website or our Services at your own discretion and risk. HeadStarter does not warrant that the dApp will meet your requirements, and does not guarantee that the use or other exploitation of the dApp or our Website will lead to any favourable results as may be expected by you. No advice or information, whether oral or written, obtained by You from HeadStarter, its affiliates, or representatives, through social media channels or our Website, will constitute any warranty and/or representation.
  • HeadStarter may pause or interrupt the dApp at any time, and you should expect periodic downtime for updates to the Website.
  • HeadStarter does not warrant that it possesses any ability to prevent or mitigate cyberattacks and modifications on the blockchain networks. We do not guarantee any insurance to You, from any cyberattacks.
• Liability
  • HeadStarter will not be liable to You or any third party for any direct, indirect, incidental, special, consequential or exemplary damages (including damages for loss of profits, goodwill, use, or data), even if a party has been advised of the possibility of such damages.
  • We will not be responsible for any compensation, reimbursement, or damages arising out of or in connection with Your inability to use the dApp or the Progam, including as a result of any:
    • Termination or suspension of your use of or access to the dApp or the Program.
    • Our discontinuation of any or all of the Website.
    • Without limiting any obligations under any separately agreed service-level agreements, or, any unanticipated or unscheduled downtime of all or a portion of the dApp for any reason, including as a result of power outages, system failures or other interruptions.
    • Any investments, expenditures, or commitments by You in connection with these Terms and Conditions or Your use of or access to our Program or dApp.
    • Any unauthorised access to, alteration of, or the deletion, destruction, damage, loss or failure to store any of your content or other data.
• Indemnities
  • You agree that You shall defend, indemnify, and hold harmless, HeadStarter, and each of Our respective employees, officers, directors, representatives, and affiliates from and against any claims, damages, losses, liabilities, costs, expenses (including but not limited to debt collection expenses) and legal fees (including reasonable attorneys’ fees) incurred in connection with any claims, demands or damages arising out of or related to any breach of these Terms by You, or Your violation of any Applicable Law which may result in a breach of these Terms by You, or arising out of or relating to any third party claim.
  • You agree to indemnify HeadStarter in respect of any damages and additional expense (including, but not limited to legal costs and debt collection expenses) which We may suffer or incur, directly or indirectly, as a result of unlawful actions conducted by You including by way of any prohibited uses, which may result in the breach of Your obligations under these Terms.
• Severability
  • If any part of these Terms and Conditions shall be invalid or unenforceable, such invalidity or unenforceability shall not affect the validity or enforceability of any other part or provision of these Terms, which shall remain in full force and effect. If any provision or part-provision of these Terms is or becomes invalid, illegal or unenforceable, it shall be deemed modified to the minimum extent necessary to make it valid, legal and enforceable. If such modification is not possible, the relevant provision or part-provision shall be deemed deleted. Any modification to or deletion of a provision or part-provision under this paragraph shall not affect the validity and enforceability of the rest of these Terms.
• Applicable Law and Jurisdiction
  • These Terms are governed by and interpreted according to the laws applicable in the British Virgin Islands (BVI). In case of any disputes in relation to these Terms, you agree to submit to the exclusive jurisdiction of BVI.
